Abstract

الملخص (العربية): تناولت هذه الدراسة موضوع المسؤولية القانونية للمسير في الشركة التجارية ، باعتبارها لشخص الذي يتولى إدارة الشركة و تمثيلها ، و ما يترتب عن ممارسته لمهامه من التزامات قانونية تستوجب مساءلته عند الإخلال بها. وهدفت الدراسة إلى بيان مدى إمكانية مساءلة مسير الشركة التجارية قانونًا عن أفعاله و تصرفاته أثناء إدارته للشركة ، و ذلك من خلال دراسة المسؤولية المدنية و المسؤولية الجزائية وفقًا للتشريع الجزائري. و قد اعتمدت الدراسة على المنهج الوصفي و التحليلي ،من خلال تحليل النصوص القانونية و الآراء الفقهية ذات الصلة. و توصلت إلى أن المشرع الجزائري أحاط المسير بمجموعة من الالتزامات القانونية ، ورتب جزاءات مدنية و جزائية في حالة إساءة استعمال سلطاته أو مخالفته للقانون أو سوء تسييره ،بما يحقق التوازن بين منحه حرية التسيير و حماية الشركة و الشركاء و الدائنين و الغير

Abstract (English): This study examines the legal liability of the manager of a commercial company, as the person responsible for managing and representing the company. It aims to determine the extent to which a company manager may be held legally accountable for acts and decisions taken during the management of the company under Algerian law. The research addresses both civil and criminal liability by adopting a descriptive and analytical approach based on the analysis of legal texts and relevant legal doctrine. The study concludes that Algerian legislation imposes several legal obligations on company managers and provides for civil and criminal sanctions in cases of abuse of authority, violation of legal provisions, or mismanagement, thereby ensuring a balance between managerial freedom and the protection of the company, its partners, creditors, and third parties
