ملخص المذكرة تكتسي دراسة أحكام تأسيس وتسيير الشركة ذات المسؤولية المحدودة أهمية بالغة بالنظر إلى المكانة التي تحتلها هذه الشركة في الحياة الاقتصادية، باعتبارها من أكثر الأشكال القانونية انتشاراً؛ لما توفره من إطار قانوني ملائم لممارسة النشاط التجاري مع ضمان حماية الشركاء من خلال تحديد مسؤوليتهم في حدود حصصهم. كما تبرز أهمية الموضوع في الدور الذي تؤديه هذه الشركة في دعم الاستثمار وتنشيط الحركة الاقتصادية، مما يستدعي الوقوف على الأحكام القانونية التي تنظم تأسيسها وتسييرها. وتهدف هذه الدراسة إلى التعرف على هذه الأحكام في التشريع الجزائري، من خلال بيان الأركان الموضوعية والشكلية لتأسيس هذا النوع من الشركات والجزاء المترتب على تخلفها، ودراسة نظام إدارتها بالتطرق إلى آليات تعيين المدير وعزله، وكذا سلطاته وواجباته ومسؤوليته القانونية، إضافة إلى إبراز آليات الرقابة التي يمارسها الشركاء ومحافظ الحسابات لضمان حسن سير الشركة وحماية المصالح المرتبطة بها

The study of the rulesgoverning the establishment and management of the Limited Liability Company (LLC) is of great importance due to the prominent position this type of companyoccupies in economic life. It is one of the mostwidelyusedlegalforms, as itprovides an appropriatelegalframework for conducting commercial activitieswhileensuring the protection of partners by limitingtheirliability to the value of their respective contributions. The significance of this topic also stems from the roleplayed by LLCs in promotinginvestment and stimulatingeconomicactivity, whichnecessitatesexamining the legal provisions regulatingtheir establishment and management.

This studyaims to identifythese provisions under Algerian legislation by examining the substantive and formalrequirements for the establishment of this type of company and the legalconsequencesresultingfromtheir absence. It alsoanalyzes the company's management system by addressing the mechanisms for the appointment and dismissal of managers, as well as theirpowers, duties, and legalliability. Furthermore, the study highlights the control mechanismsexercised by partners and statutoryauditors to ensure the properfunctioning of the company and the protection of the interestsassociatedwithit.
