Abstract

La démarche de fusion de sociétés commerciales à travers le monde n’est point à la mode ni en pauvreté procédurales. Ce qui m’a intéressé c’est le cas de notre pays étant l’Algérie là où les opérations de fusion de sociétés commerciales ne sont pas bien outillées en matière juridico-technique. Notre apport dans cette recherche est bien de servir, aux acteurs des opérations de fusion, aux étudiants, a toutes personnes intéressées, de document de base pour s’informer (culture de fusion) et pour les sensibiliser de l’importance des éléments requis pré-fusion, durant la fusion et même post-fusion. The process of merging commercial companies around the world is neither fashionable nor in procedural poverty. What interested us is the case of our country being Algeria where the merger operations of commercial companies are not well equipped in legal-technical matters. Our contribution in this research is well to serve, to the actors of the fusion operations, to the students and all interested persons, a background document to be informed (culture of fusion) and to raise awareness of the importance of the elements required Pre-merging, during fusion and even post-merger. عمليه دمج الشركات التجارية في جميع انحاء العالم ليست مألوفة ولو حتى في فقر إجرائي. أساسا، ومن المهم هو حالة بلدنا الجزائر حيث أن عمليات الاندماج في الشركات التجارية ليست مجهزه تجهيزا جيدا من حيث المسائل القانونية والتقنية. ومساهمتنا في هذا البحث يصب في خدمة الجهات الفاعلة في عمليات الاندماج، وكذا للطلبة، ولجميع الأشخاص المهتمين، وهي وثيقة معلومات أساسيه للإعلام) ثقافة دمج الشركات التجارية(، ولزيادة الوعي بأهمية العناصر المطلوبة قبل الدمج، أثناء هذه العملية وحتى بعد الاندماج.
